Terms of Service

1. Agreement
These Terms of Service ("Terms") are a legally binding agreement between you and HorizonAI Pty Ltd (ABN and registered office available on request) ("HorizonAI", "we", "us", or "our"). They govern your access to and use of the HorizonAI websites (including www.horizontrading.ai), the web application at app.horizontrading.ai, Quant Mode, backtesting and grading tools, the Chrome extension, documentation, script library, APIs, Discord community spaces we operate, and any related software or content (together, the "Service").
By creating an account, starting a trial, clicking to accept, or using the Service in any way, you agree to these Terms, the Privacy Policy, and the Risk Disclosure. If you do not agree, do not use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.
2. The Service
HorizonAI is a software tool. Depending on your plan, it may let you describe trading ideas in natural language, generate or edit Pine Script, MQL5 and NinjaScript, convert between those languages, chart and backtest strategies against historical market data, run stress tests, run Quant Mode alpha hunts, organise results, and export source code to third-party platforms you already use.
The Service is offered as a research, education and software-development aid. It is not a trading platform, brokerage, exchange, wallet, payment service, or managed account. Features, limits, token allowances, grading methods, data coverage and available markets may change, be rate-limited, or be withdrawn at any time.
3. What HorizonAI is not
To the maximum extent permitted by law, you acknowledge and agree that HorizonAI is not, and the Service does not constitute:
- a broker, dealer, introducing broker, futures commission merchant, execution venue, or any other intermediary that can place, route, or clear orders;
- an investment adviser, financial adviser, financial planner, or holder of an Australian financial services licence (or equivalent licence in any other jurisdiction) providing personal or general financial product advice to you;
- a commodity trading advisor, commodity pool operator, fund manager, portfolio manager, or discretionary trader;
- a fiduciary, trustee, agent, or attorney-in-fact in respect of any trading account, wallet, or funds;
- a solicitation, offer, or recommendation to buy, sell, hold, or otherwise deal in any security, derivative, contract for difference, forex pair, cryptoasset, future, option, or other financial product.
We do not trade for you. We never connect to your broker. We never hold, custody, or transfer your funds. We never place, schedule, or cancel live orders. If you export code and run it on TradingView, MetaTrader 5, NinjaTrader, a VPS, a broker, or anywhere else, that activity is solely between you and that third party. HorizonAI has no visibility of, authority over, or responsibility for live trading.
Nothing we generate, display, grade, say in chat, publish on the marketing site, or send by email is financial, investment, tax, or legal advice. If you need advice, obtain it from a licensed professional who knows your circumstances.
4. Eligibility and accounts
You must be at least 18 years old, and legally able to enter a contract, to use the Service. You must not use the Service if you are barred from doing so under the laws of Australia or your place of residence.
You are responsible for the accuracy of your account information, for keeping credentials confidential, and for all activity under your account. Notify us promptly at info@horizontrading.ai if you believe the account is compromised. We may refuse, suspend, or reclaim usernames and may require identity or payment verification.
5. Quant Mode, backtests and grades
Quant Mode, alpha hunts (including custom hunts and scheduled Agents), multi-market backtests, stress tests, letter grades, PASS / WARN / FAIL verdicts, "Promoted", "Approved", "Kill", graveyard notes, playbooks, group stats, and similar labels are software outputs. They organise research inside your workspace. They are not investment recommendations, not trade signals, not an approved product list, and not a statement that any strategy is suitable, robust, or likely to be profitable in live markets.
Without limiting the above:
- A letter grade (including S or A) is an automated ranking of a historical backtest under rules we choose. It may look like a recommendation of quality. It is not personal financial advice, not an instruction to place live trades, and not a forecast.
- "Approve", "Promoted", "winner", "profitable", "edge", or similar product or marketing language refers only to hypothetical results on past data inside the Service, or to how you chose to file an idea in your workspace. It is not our endorsement of live trading.
- "Kill" and the graveyard are filing tools. They do not mean a strategy cannot lose money live, or that a killed idea would have lost money live.
- Stress-test PASS / WARN / FAIL results are checks against thresholds we set. A PASS is not a guarantee of robustness, absence of look-ahead bias, or live profitability. A FAIL is not a guarantee the idea would lose money live.
- Playbooks, "what your quant believes", and any learning from your prior hunts are automated summaries of your own simulated history. They are not advice, and they can be incomplete or wrong.
- Agents that run hunts on a schedule still only generate and test code. They do not place trades, size positions, or supervise a live account.
- We may change, delay, or withdraw grading methods, hunt behaviour, data windows, cost models, and universes at any time, including mid-hunt, without liability to you.
You alone decide whether to inspect, ignore, modify, export, paper-trade, or live trade anything the Service produces. HorizonAI has no duty to monitor how you use those outputs.
6. Hypothetical or historical backtest performance
HorizonAI backtests replay a strategy against real historical market prices. The trades, fills, equity curve, return, drawdown, win rate, profit factor, and similar figures you see are calculated from that history (and from cost, capital, and other assumptions we or you select). They are still hypothetical performance in the legal sense: those trades were not placed, filled, or funded in a live account. A Quant Mode grade is a score of that historical backtest, not a live track record.
Hypothetical performance results have many inherent limitations. No representation is being made that any account will, or is likely to, achieve profits or losses similar to those shown. There are frequently sharp differences between hypothetical results and the actual results later achieved by any particular trading program.
Hypothetical results are generally prepared with the benefit of hindsight. Simulated trading does not involve financial risk, and no simulated record can fully account for the impact of that risk in live trading — including your ability to withstand drawdowns, to follow a system after losses, slippage, partial fills, rejected orders, widened spreads, gaps, halts, liquidity voids, overnight financing, corporate actions, lock-ups, exchange or broker outages, and the simple fact that the future is not the past.
Additional limitations that apply to HorizonAI results include, without limitation: modelled (not live) commissions and spreads; assumed starting capital; one-position or other simplified portfolio rules; forced close at the end of a data window; look-ahead and overfitting risk; data errors, adjustments and gaps; survivorship in symbol universes; parameter choices made after seeing results; and differences between our Python / MT5 / TradingView testers and the platform on which you later run the code. Stress tests reduce some of these risks. They do not eliminate them, and they do not make a backtest equivalent to live trading.
Past performance — including past backtested performance — is not indicative of future results. History does not predict live trading. You can lose some or all of the capital you trade. See the Risk Disclosure.
7. AI-generated output
Much of the Service is powered by third-party large language models and other automated systems. Output can be incomplete, outdated, insecure, non-compilable, economically nonsensical, or silently wrong (including look-ahead bugs that make a backtest look better than it is). Validation, compilation, charting and backtesting in the product are aids. They are not a warranty that code is correct, profitable, exchange-compliant, or fit for any purpose.
You must review, test and, if you choose to trade, independently validate any code or strategy before live use. You assume all risk of relying on AI output.
8. Your responsibilities
You are solely responsible for:
- all trading and investment decisions, including whether to use, ignore, or modify anything the Service produces;
- compliance with laws, exchange rules, broker terms, and tax obligations in every jurisdiction that applies to you;
- confirming that any live use of exported code is permitted by your broker and platform, and for configuring lot size, risk, stops, and connectivity;
- not treating chat replies, grades, or marketing copy as personal advice;
- keeping the Service away from anyone who is not authorised on your account.
If you are not prepared to lose the capital you put at risk, you must not trade. The Service is not designed for, and must not be used as, a substitute for your own judgment.
9. Market data and third-party platforms
Historical and reference data may come from third parties and may be delayed, adjusted, incomplete, or wrong. It is provided for research inside the Service, not as a live trading feed and not for redistribution.
TradingView®, MetaTrader 5, NinjaTrader and other named platforms are trademarks of their owners. HorizonAI is not affiliated with, endorsed by, or sponsored by those companies. Their products are governed by their own terms. Outages, rule changes, or account actions on those platforms are not our responsibility.
The Chrome extension runs in your browser against TradingView's interface. TradingView may change that interface at any time. We do not warrant that the extension will keep working, and it still does not place broker orders or hold funds.
10. Subscriptions, trials and refunds
Paid features are billed on a subscription through Stripe (or another processor we nominate) at the rates shown at checkout, plus applicable tax. Trials, token allowances, and plan limits are described on the pricing page and in the application; we may change them going forward.
You must cancel before the next billing date if you do not want to be charged again. Except where Australian Consumer Law or other non-excludable law requires otherwise, fees already processed are non-refundable, including unused trial or subscription time and unused tokens, and including if a hunt, backtest, or generation is unsatisfactory to you.
Chargebacks initiated in bad faith, or abuse of trials (including stacked accounts or disposable-email cycling), are a breach of these Terms. We may suspend the Service and recover our costs.
11. Intellectual property
The Service — including software, models, prompts, grading methods, documentation, look and feel, and the HorizonAI name and logos — is owned by us or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service for your own internal purposes during a valid subscription or trial, in accordance with these Terms.
You retain ownership of the scripts, strategies and other content you create with the Service ("User Content"). We do not claim a financial interest in your User Content. You grant us a worldwide licence to host, process, transmit, display and make backups of User Content solely as needed to operate, secure and improve the Service for you (including running Quant Mode hunts and backtests you request). We do not use your scripts or chat content to train foundation models. See the Privacy Policy.
You represent that you have the rights to anything you upload, and that your User Content does not infringe others' rights or any law.
Script Library items we publish remain our copyright (or that of the stated author). Your licence to use a library script is personal, non-exclusive, and limited to use with or alongside the Service unless we state otherwise for that item. You may not resell our library scripts as your own product.
12. Acceptable use
You must not:
- use the Service to provide regulated financial advice or managed-trading services to others, or present grades or backtests as our recommendation that a third party should trade;
- attempt to connect the Service to a brokerage API, wallet, or exchange in a way we have not built and authorised — the Service is non-custodial and non-executing by design;
- probe, disrupt, or overload the Service; scrape it except via a documented public API we provide; reverse engineer it except to the extent the law cannot be excluded; or share, sell, or multiplex your account;
- upload malware, or content that is unlawful, infringing, or that you do not have the right to use;
- use the Service for market manipulation, or in any way that violates sanctions or export-control rules that apply to you or to us;
- misrepresent an affiliation with HorizonAI, or remove proprietary notices.
13. Privacy
We handle personal information as described in the Privacy Policy. The marketing site and the application use cookies and similar technology, including Google Analytics and (where relevant) affiliate tracking.
14. Disclaimers
To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, and non-infringement.
We do not warrant that the Service will be uninterrupted, secure, or error-free; that results, grades, or code will meet your expectations or be profitable; that defects will be corrected; or that data or output is reliable enough to trade on. You use the Service at your sole risk.
15. Limitation of liability
To the maximum extent permitted by law, HorizonAI, its directors, officers, employees, contractors, and affiliates are not liable for any:
- trading, investment, or speculation losses, whether or not they arise from reliance on a backtest, grade, hunt, stress test, chat reply, library script, or exported code;
- lost profits, lost opportunity, lost data, business interruption, or indirect, incidental, special, consequential, exemplary, or punitive damages;
- claims arising from third-party platforms, brokers, data vendors, AI model providers, payment processors, or your internet connection;
- unavailability of the Service, failed hunts, incorrect grades, or defective generated code.
Our aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the fees you paid us for the Service in the twelve (12) months before the claim, and (b) AUD $100. That cap applies regardless of the theory of liability (contract, tort including negligence, statute, or otherwise) and even if a remedy fails of its essential purpose.
Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law or other law that cannot be excluded. Where our liability can be limited under section 64A of the Competition and Consumer Act 2010 (Cth) (or equivalent), it is limited to, at our option, resupplying the services or paying the cost of resupplying them.
Some jurisdictions do not allow certain limitations. In those places, our liability is limited to the maximum extent permitted.
16. Indemnity
You will indemnify, defend, and hold harmless HorizonAI and its officers, employees, and affiliates from and against any claims, damages, losses, regulators' investigations, and costs (including reasonable legal fees) arising out of or related to: (a) your use of the Service or of any code or strategy generated or graded by it; (b) your live or paper trading; (c) your User Content; (d) your breach of these Terms or of law; (e) any claim that you provided financial advice or managed trading to a third party using our outputs; and (f) your dispute with a broker, platform, or other user.
17. Termination
You may stop using the Service and cancel a subscription at any time. We may suspend or terminate access immediately, without prior notice, if we believe you have breached these Terms, created risk or legal exposure, or if we discontinue the Service. On termination, your licence ends. Sections that by their nature should survive (including 3, 5–9, 11, and 14–20) do survive. We are not obliged to retain your User Content after termination, except as the Privacy Policy or law requires.
18. Governing law
These Terms are governed by the laws of Australia, without regard to conflict of law rules. You and we submit to the exclusive jurisdiction of the courts of Australia, except that we may seek injunctive relief in any jurisdiction to protect our intellectual property or the Service.
You are responsible for determining whether your use of a trading-research tool is lawful where you live. We do not offer the Service to persons in jurisdictions where it would be illegal.
19. Changes
We may modify these Terms at any time by posting an updated version on this page and changing the "Last updated" date. Material changes may also be notified in the application or by email. Continued use after the update is acceptance of the revised Terms. If you do not agree, you must stop using the Service and cancel any subscription.
20. General
These Terms, the Privacy Policy, and the Risk Disclosure are the entire agreement between you and us regarding the Service. They supersede prior terms. If a provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. There are no third-party beneficiaries except as stated in the liability and indemnity sections. Headings are for convenience only. Notices to you may be sent to the email on your account or posted in the Service. Notices to us must be sent to the contact below.
Nothing in marketing, documentation, Discord, chat, or sales conversations amends these Terms unless we agree in a signed writing. If there is a conflict between promotional language and these Terms, these Terms control.
